Hiisi Products Oy – General Terms and Conditions of Sale and Delivery

1. Scope of Application
All sales and delivery transactions are governed solely by the following general terms and conditions.
The customer's own general terms and purchasing conditions are not valid.
These terms also apply to future similar agreements unless otherwise agreed in writing.

2. Offer
All offers are non-binding. Offers submitted to us are binding on the customer.

3. Formation of Agreement
The content of the agreement is determined by our written order confirmation and these terms.
Oral or informal promises are valid only if confirmed in writing.
If any single clause is deemed invalid, the remaining terms remain effective.
The contract is deemed concluded once the order confirmation has been delivered to the purchaser.
Changes and additions require written confirmation by Hiisi Products.
The purchaser must promptly check the order confirmation.
If the delivered product deviates from the order, the product defined in the order confirmation prevails.

4. Prices
All prices are indicative and stated ex-stock or ex-works.
Packaging, loading, delivery, and transport insurance are invoiced separately.
Transport insurance is only provided upon request and at the customer's expense.
Final billing is based on the price list valid on the delivery date.
If labor or material costs change before delivery, we reserve the right to adjust prices.
Discounts and other benefits are valid only for the agreed duration.
The buyer is responsible for currency risk.

5. Delivery
Unless otherwise agreed in writing, delivery times and dates are indicative and not binding. Partial deliveries are allowed.
If delivery is delayed by more than 6 weeks, the buyer may set a reasonable grace period.
If delivery is still not made, the buyer has the right to cancel the contract in writing.
Cancellation does not entitle the buyer to compensation.
Delivery time begins at the latest:
• from the date of order confirmation,
• when the buyer has fulfilled all technical and commercial obligations,
• when the required advance payment has been made.

Delivery time will be extended if unforeseen obstacles arise (e.g., force majeure).
In such cases, the buyer is not entitled to compensation or replacement deliveries.
Unless otherwise agreed, Finnish standards apply.

Inspection Obligation:
Before installation, the customer must check that the delivered part is fit for its intended purpose.
If the part differs in appearance, dimensions, or material, the customer must contact Hiisi Products before installation:

6. Small Shipments, Spare Parts, and Repairs
Delivered only against prepayment.

7. Transfer of Risk
Delivery is at the buyer’s risk and cost, even if delivery is exceptionally paid by the seller.
Returns are also at the buyer’s risk.
Delivery is considered completed once the product is handed over to the carrier.

8. Packaging
Unless otherwise agreed, packaging is charged separately and is non-returnable.

9. Payment Terms
Unless otherwise agreed, payment is made in advance or upon receipt of goods.
Payments must be made without deductions.
Late payments incur 5% annual interest.
A reminder fee of €10 applies.
The seller may charge a cancellation fee of 20% of the order value.
If the customer fails to pay, Hiisi Products may cancel the contract and demand the return of the goods.
Customized products are non-refundable.

10. Retention of Title
The product remains the property of Hiisi Products until all payments have been made.
The buyer assigns to us any receivables arising from the resale of goods delivered by us, up to the invoice amount, as a precautionary measure until all obligations are fulfilled, particularly the payment of the purchase price under this contract.
The buyer agrees to keep the funds from the sale of the reserved goods separate and on our behalf.

11. Warranty
The buyer must submit complaints in writing without delay.
Hiisi Products' warranty obligation is limited to transferring the supplier’s responsibility to the buyer.
Liability for compensation is excluded.
Hiisi Products may fulfill the warranty by:
• repairing the product,
• taking it back for repair, or
• replacing a part.
Installation and removal costs are borne by the buyer.
Returns only with the seller’s consent.
The warranty is not renewed after repair.

Racing Parts Warranty:
Products are intended solely for racing use and are not road legal.
Warranty is voided due to misuse, incorrect installation, or modifications.

12. Returns
Products have a 14-day return right. The customer bears the return shipping costs.
Returned or exchanged items must be in saleable, unused condition and in intact original packaging.
Do not attach return labels, address tags, or tape to the sales packaging.
Ensure all parts, including manuals and packaging materials, are returned.

13. Applicable Law
EU and Finnish law apply to the contract.

14. Joint Liability
If there are multiple buyers, they are jointly liable for the obligations.

15. Consumer Protection
If the contract is concluded with a consumer, the terms apply only to the extent permitted by consumer protection law.
For businesses, the terms are fully binding.

16. Alternative Dispute Resolution

We do not participate in proceedings before the Consumer Disputes Board.
